Election of four Class II directors to hold office until the 2022 annual general meeting of shareholders;

Re-appointment of Ernst & Young LLP, an independent registered public accounting firm, as our independent auditor to serve until the 2020 annual general meeting of shareholders and authorization of our Board of Directors, acting by the Audit Committee, to determine the independent auditor’s remuneration;
(3)
A non-binding, advisory vote to approve the 2018 compensation of our named executive officers;
(4)
The approval of an amendment to the James River Group Holdings, Ltd. 2014 Non-Employee Director Incentive Plan; and
(5)
Any other business that may properly come before the annual general meeting of shareholders and any adjournments or postponements thereof.
